These Terms & Conditions (the “Terms”) form a binding agreement between you and Stonic AI, a sole proprietorship operated by Usman Ahmad (“Inventor Usman”) from Pakistan (“Stonic AI”, “we”, “us” or “our”). They govern your access to and use of the Stonic AI desktop software, the stonic.localsiteshop.com website, and any related support channels and services (together, the “Services”).
Please read them carefully before buying, subscribing or installing the software. They should be read together with our Privacy Policy and Refund Policy, both of which are incorporated into these Terms by reference.

1.Agreement to these Terms
By completing a purchase, downloading, installing, activating or otherwise using the Services, you confirm that you have read and understood these Terms and that you agree to be bound by them. If you do not agree with any part of these Terms, you must not purchase, install or use the Services.
If you are entering into these Terms on behalf of a company or other organisation, you represent that you have the authority to bind that organisation, and “you” refers to that organisation.
2.Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction if that is higher, to purchase a licence or to use the Services. Stonic AI includes companion characters and is intended for adults only. The Services are not directed at anyone under 18, and we do not knowingly sell licences to them or allow them to use the software.
You are responsible for ensuring that your use of the Services is lawful in the country in which you live and from which you access them.
3.Your licence and your plan
Stonic AI is a desktop application for Microsoft Windows: an AI character with a voice-driven, cinematic interface, which can also carry out everyday actions on your computer when you ask (section 7). It is provided as a one-time Lifetime licence (section 3.7). Stonic Cloud, which runs the AI on our servers, is a monthly subscription that is added to a Lifetime licence (section 3.8). The Lifetime licence, the current plans and their prices are shown on our pricing page.
3.1 Licence grant
Subject to your compliance with these Terms and to your plan being paid and active (or your Lifetime licence being in effect), we grant you a personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to install and use Stonic AI for your own purposes. This is a licence to use the software; it is not a sale of the software itself or of any rights in it.
3.2 Term, renewal and cancellation
Your plan runs for the period you have paid for, normally one month. What happens at the end of that period depends on how you paid.
Card payments recur. A plan bought by card is a recurring monthly subscription: at the end of each period it renews automatically and your card is charged again for the next month, at our then-current price for that plan, until you cancel. You may cancel at any time before the next charge — open “Manage subscription” on your account page, which takes you to our reseller’s own customer portal. Cancelling stops future charges only: your access continues for the period you have already paid for, and ends when that period does.
Direct payments do not recur. Where you pay us directly through JazzCash, bank transfer or crypto, nothing is stored and nothing is taken automatically. The plan simply ends when the period is over, and you pay again if you want to continue.
When a plan ends, either way, the application stops unlocking and you are simply no longer billed.
Ending a plan does not delete anything. Your account, your chat history, your settings and any files Stonic created on your computer remain exactly as they were, and start working again as soon as a plan is active.
3.3 Usage limits
Each plan carries a daily and a monthly usage allowance, and both are enforced by our servers. The plans differ in the size of that allowance: our website states how each plan compares with the Basic plan, and the Basic plan carries the smallest allowance we sell.
Usage is measured by the work you ask the service to perform, not by counting messages or minutes. A single demanding request can therefore consume more of your allowance than several simple ones, and any comparison we publish between plans is necessarily approximate for that reason. Because of this, the authoritative figure is the one shown to you: Stonic displays how much of your daily and monthly allowance you have used and how much remains, live, in the application’s Settings, together with the time at which each allowance next resets. You should treat that display as the record of your position at any moment.
Reaching an allowance pauses new AI requests until it resets; it is not a suspension of your account, nothing is deleted and nothing is lost. Daily allowances reset each day and monthly allowances reset each month. Unused allowance does not carry over to the next day or month and cannot be transferred between accounts.
We may adjust allowances from time to time. We will not reduce the allowance applicable to a period you have already paid for, and where we make a material reduction for future periods we will tell you before it takes effect so that you can decide whether to continue.
You can change plan at any time, and the new allowance applies from the moment the change takes effect. For a plan paid by card, changes are made in our reseller’s customer portal, which shows you before you confirm when the change applies and any credit or additional charge that results. For a plan paid directly, contact us and we will apply the change for you.
3.4 Devices
Each plan states how many computers you may be signed in on at the same time. Signing out on one computer frees that slot immediately. Your account, the email address it is linked to and its sign-in credentials are personal to you and must not be shared, published or transferred to another person.
3.5 Updates and support
Updates, fixes and improvements to Generation 3 are included for as long as your plan is active, and reach you automatically. We may also offer optional premium features or add-ons, sold separately; you never need them to keep using what your plan already includes. A later generation of the application is a separate product (see section 3.7). Your plan also includes support through our official WhatsApp channel and access to our community group, during reasonable hours and on a best-efforts basis. We do not operate an email ticketing system for technical support, although you may always write to us at the address in section 20.
3.6 Extra usage (prepaid balance)
Where we offer it on your account, you may add a prepaid extra usage balance. It is an optional addition to a plan, not a plan in itself: it is used only after the daily or monthly allowance of your active plan has been reached, and only while you have switched it on. While it is switched off, or while you have no active plan, nothing is spent from it and the balance is kept for you.
Extra usage is measured in the same way as your plan allowance (section 3.3) but is charged at our extra-usage rate, which is higher than the rate built into a plan. The balance and the amount spent are shown to you in dollars on your account page and in the application. You may set a spending cap per billing period, and you may switch extra usage off at any time.
A prepaid balance is not refundable once added, except where our Refund Policy or applicable mandatory consumer law provides otherwise; it cannot be withdrawn as cash, transferred to another account or applied to a plan payment. It does not expire while your account exists, but it may be forfeited if your account is terminated under section 13 for a breach of these Terms. We may adjust the extra-usage rate for future use on notice to you; a change never applies to usage already made.
3.7 Lifetime licence
The Lifetime licence is bought with a single payment. Nothing renews and nothing is charged again. It gives you the licence in section 3.1 to use Generation 3 of the Stonic AI desktop application (“Stonic AI Gen 3”) on the email address it was bought on, without an active plan, for as long as we continue to make Generation 3 available. “Lifetime” refers to the life of that product generation, not of the purchaser. Every update we publish for Generation 3 is included. Optional premium features or add-ons that we sell separately are not part of the licence.
Future generations. A later generation of the application (for example Generation 4) is a separate product. It is not included in a Generation 3 Lifetime licence, and we may offer it on different terms. All plans and Lifetime licences currently sold are for Generation 3.
Your own API keys. Without an active plan, the application’s AI features run on API keys that you create with third-party AI providers supported by the application and enter in its Settings. Those keys are stored on your computer and are sent only to the provider they belong to, not to us. Your use of each provider is governed by that provider’s own terms, and the provider bills you directly for it: we set no usage limits on your own keys, we do not meter or see that usage, and we are not responsible for its cost, for a provider changing or withdrawing a model, or for a provider’s availability. Features that exist only on our servers — including the Stonic mobile app — require an active plan.
Included first month. A new Lifetime purchase includes one month of Stonic Cloud at no charge, with the usage allowance of the Basic plan, starting when the Lifetime licence is activated, so that you can use the application before setting up any keys. It is given once per account; it is not given where the account has already received it or already has an active plan, it has no cash value, it cannot be extended or transferred, and it ends automatically without any charge. After it ends, the application keeps working on your own keys.
Plans on top of Lifetime. You may add any plan at any time. While a plan is active the application can also run on our servers, and sections 3.2 to 3.6 and 5 apply to that plan. Starting, changing, cancelling or ending a plan never affects your Lifetime licence.
Devices. A Lifetime licence may be signed in on up to 3 computers at the same time, or the number your active plan allows if that is higher.
Refunds. The Lifetime licence is delivered the moment your payment is confirmed and is a final sale, on the terms of our Refund Policy. If a Lifetime payment is refunded or reversed, the Lifetime licence and any included month that came with it end; a plan you paid for separately is not affected.
3.8 Who can buy a Stonic Cloud plan
A new Stonic Cloud plan can be bought on an account that holds a Lifetime licence. A new customer starts with the Lifetime licence, which includes the first month of Stonic Cloud (section 3.7), and can add a plan after that.
Existing Stonic Cloud customers. If your account already holds, or has held, a Stonic Cloud plan of its own (not the month included with Lifetime), nothing changes for you: you may renew it, change it or buy it again, and while it is active it unlocks the application exactly as before, with or without a Lifetime licence.
4.What your plan does not include
Your plan is a licence to use the ready-made Stonic AI application. So that there is no misunderstanding about scope, it does not include any of the following:
- Source code. The application’s source code is not supplied, not accessible and not for sale.
- Resale, rebranding or redistribution rights. You may not resell, rent, lease, sub-license, rebrand, white-label or redistribute the software in any form, whether or not for profit.
- Custom development. No bespoke features, integrations, modifications or client-specific builds are included, and none are promised as part of the purchase price.
- Unlimited use. Every plan — including the largest one — carries a daily and a monthly allowance, as described in section 3.3. No plan is a licence to run the service without limit, and allowances are not transferable between days, months or accounts.
- A permanent licence through a plan. Access through a plan lasts for as long as the plan is active. A licence that does not depend on a plan is available only as the Lifetime licence described in section 3.7.
- Stonic Cloud on Lifetime alone. Lifetime does not include use of our servers beyond the included first month (section 3.7); that requires an active plan.
5.The AI service and fair use
The artificial-intelligence service that powers Stonic AI is provided by us as part of your plan and runs on our servers. You do not need an account with any AI provider, you do not need an API key, and there is nothing for you to configure or pay for separately.
This section describes our service on a plan. When a Lifetime licence is used without an active plan, the AI runs on your own API keys instead, and section 3.7 applies to that use.
5.1 Metering
Usage is measured on our servers and counted against your plan's daily and monthly allowance. Those measurements are our record of your usage, and they are reported back to you in the application’s Settings so that your position is visible to you at all times rather than only at the point where a limit is reached. If you believe a measurement is wrong, contact us and we will look into it.
5.2 Fair use
Plans are sold for use by one person. Sharing an account between people, reselling access, automating requests at machine speed, or otherwise using the service in a way that is inconsistent with normal personal use is a breach of these Terms and may lead to suspension under section 13.
5.3 Underlying providers
We deliver the service using models operated by third parties. Which models we use, and how we route requests between them, is our decision and may change at any time — including for performance, cost or availability reasons — provided the service you receive remains materially as described. Interruption at an underlying provider may affect availability; we work to minimise it, but we do not control it.
6.The voice assistant
On a plan, the built-in voice assistant runs on our servers as part of your plan. There is nothing to set up and no separate account or key involved. On Lifetime without a plan, it runs on your own AI provider API keys under section 3.7.
Continuous voice sessions reconnect periodically, and response times can vary with load on the underlying model. Voice usage counts against the same plan allowance as everything else. By subscribing you acknowledge that voice performance depends on live third-party models, and that normal variation in that performance is not a defect in Stonic AI.
7.Nature of the product and intended use
Stonic AI is designed and sold as an experience first: an AI character with a voice and a personality, inside a futuristic desktop interface. It can help with everyday things on your computer, but that help supports the experience — it is not what the product is built or sold for. To ensure you have the right expectations before purchasing, the product's sweet spot and limitations are clearly defined below.
| + Best for | - Not designed for |
|---|---|
| Sci-fi and JARVIS experience lovers | Heavy or repetitive bulk operations |
| Tech enthusiasts, creators, and learners | Industrial or enterprise-scale processing |
| Voice-driven personal PC interaction | Unattended mission-critical automation |
| Fast everyday tasks and exploration | Guaranteed AI accuracy or business results |
| People who want an AI with a voice, a personality and a memory | Mac users (macOS is currently not supported) |
| Company, conversation and a PC that feels alive | Replacing ChatGPT, Claude or other work tools (writing, research, coding, business) |
The characters are virtual. The characters in Stonic AI are virtual personalities created by AI. They are not real people, they can be wrong, and nothing they say is professional advice (medical, legal, financial or otherwise). A character is not a substitute for real-world support: if you are going through a difficult time or are thinking about harming yourself, please contact your local emergency number or a crisis helpline, or someone you trust.
By purchasing, you acknowledge that you are licensing the software as an AI character experience, with everyday assistance as a supporting feature, rather than as a work tool or for bulk utility work, and that suitability for such work or guaranteed business results is not part of what is being sold.
8.Acceptable use
You agree to use the Services lawfully and responsibly. You must not use them to break any law or regulation; to infringe anyone’s intellectual-property, privacy or other rights; to access, monitor or interfere with a computer, account or network you are not authorised to use; to create or distribute malware; to send spam or other unsolicited bulk messages; or to generate or distribute content that is unlawful, defamatory, harassing or abusive.
You must also not copy, modify, translate, reverse-engineer, decompile or disassemble the software, attempt to derive its source code, remove or obscure any proprietary notice, circumvent or tamper with its licensing, activation or security mechanisms, or share your licence with others. These restrictions apply except to the extent that applicable law expressly prohibits us from imposing them.
Because the software can control your computer, you remain responsible for the commands you give it and for the consequences of those commands, including the movement, modification or deletion of your files. We recommend keeping regular backups of anything important.
9.Existing lifetime customers
Stonic AI was previously sold as a one-time purchase with a permanent licence, alongside Source Code and Enterprise plans. Source Code and Enterprise are not sold any more, and the one-time licence was replaced by the Lifetime licence in section 3.7. None of this changes anything for anyone who already bought: every purchase completed before that date keeps in full the entitlements it was sold with.
If you bought the earlier one-time licence, your copy of the application remains yours permanently. It continues to work exactly as it did on the day you bought it — with your own AI provider account or API key, without usage limits set by us, and without any monthly fee. In addition, your earlier licence is recognised as a Lifetime licence in the current application on the same email address, with your own API keys, on the terms of section 3.7 — except that the included first month applies only to new Lifetime purchases. You do not need a plan. Source Code and Enterprise customers likewise retain every right granted by their original licence.
A plan is optional for you. Subscribing is not required, and not subscribing takes nothing away from you.
If you are an existing customer and have any question about your entitlements, contact us on WhatsApp or at [email protected] and quote this section — it applies to you.
10.Pricing, payment, taxes and our reseller
Plan and Lifetime prices are displayed on our website — in Pakistani Rupees for visitors in Pakistan and in US Dollars elsewhere. We may change our prices at any time, but a change never applies to a period you have already paid for.
There are two ways to pay, and they work differently. Which one you use determines who you are contracting with for the payment, who accounts for the tax, and who handles a refund. Everything else in these Terms — your licence, what you may do with the software, and our obligations to you — is the same either way.
Card payment — Polar as Merchant of Record
Card payments are processed by Polar Software, Inc. (“Polar”), which acts as our authorised online reseller and Merchant of Record for that transaction. This means Polar, and not Stonic AI, is the seller of record for the payment itself: Polar takes the payment, issues the receipt or invoice, calculates, collects and remits any VAT, sales tax or equivalent charge that your country requires, and handles order-related billing enquiries and returns. Your payment contract for a card order is therefore with Polar, while these Terms continue to govern your licence to use the software.
For card orders the price shown at checkout is the total amount payable. Any applicable tax is included in that amount and is itemised separately on the order breakdown — neither we nor Polar will add tax on top afterwards. Your own bank or card issuer may still apply a currency-conversion or foreign-transaction fee, which is outside the control of both Polar and us.
Card orders are fulfilled automatically. Your plan starts on the email address of the account you are signed in with when you begin checkout, normally within seconds of payment — you do not need to send us anything or contact us at all. A card plan is a recurring monthly subscription and renews automatically until you cancel it, as set out in section 3.2; you can cancel at any time before the next charge from your account page. A Lifetime purchase is a single payment and never recurs.
Direct payment — made to us
We also accept payment directly through the local and alternative methods listed at checkout, which currently include JazzCash, bank transfer, USDT, Binance Pay and Redot Pay. For these orders Stonic AI is the seller and the payment is made to us. You send us your payment confirmation and the email address you want the plan or Lifetime licence on, we verify the payment, and we then activate it on that address and confirm by email. Direct payments do not recur: when a plan’s month ends, nothing is taken automatically and you simply pay again if you want to continue. A Lifetime licence paid directly is a single payment, like any other.
Prices for direct payments are exclusive of any tax, duty, bank charge, network fee or currency-conversion cost that your payment provider or local law may impose; where such an amount applies to you, it is your responsibility.
11.Refunds
A plan gives you immediate access to a metered service, so a month that has started is not refundable, and a Lifetime licence is a final sale once delivered (section 3.7), except where our Refund Policy or applicable mandatory consumer law provides otherwise. You can stop at any time and simply not be charged again. The full position — including how we handle failed delivery, duplicate payments and payment disputes — is set out in our Refund Policy, which forms part of these Terms.
The same applies to a prepaid extra usage balance (section 3.6): once added it is not refundable, save as the Refund Policy or mandatory law provides. Where a refund of an extra usage payment is nonetheless made, the refunded amount is deducted from your balance, and any part of it that had already been used remains owed.
12.Intellectual property
The software and everything in it — including its source code, architecture, algorithms, interface design, design system, visual and audio assets, documentation, and the Stonic AI name and logo — is owned by Stonic AI and its licensors and is protected by copyright, trade-mark and other intellectual-property laws. All rights not expressly granted to you in section 3 are reserved.
You retain ownership of your own content: the files, prompts, commands and data you use with the software remain yours, and we claim no ownership over them. Any feedback or suggestion you choose to send us may be used freely to improve the product, without obligation or compensation to you.
13.Suspension and termination
You may stop using the software at any time by uninstalling it. We may suspend or terminate your licence if you materially breach these Terms — in particular if you share, resell or tamper with your licence, use the software unlawfully, or initiate a fraudulent payment dispute. Where the breach is capable of being remedied and the circumstances allow, we will normally contact you first and give you a reasonable opportunity to put it right.
On termination your right to use the software ends and you must uninstall it. Sections that by their nature should survive — including intellectual property, disclaimers, limitation of liability, indemnity and governing law — continue to apply after termination.
14.Disclaimer of warranties
The Services are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, conditions and representations of any kind, whether express, implied or statutory, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, accuracy and non-infringement.
We do not warrant that the software will be uninterrupted, error-free or free of harmful components, that it will be compatible with every hardware or software configuration, that AI responses or automated actions will be accurate, complete or suitable for any particular purpose, or that it will produce any specific outcome or business result. Nothing in this section limits any right you have under mandatory consumer-protection law that cannot lawfully be excluded.
15.Limitation of liability
To the fullest extent permitted by law, Stonic AI will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, revenue, business, goodwill, data or anticipated savings, arising out of or in connection with the Services, whether based in contract, tort, negligence, strict liability or any other legal theory, and whether or not we were advised of the possibility of such loss.
In particular, and without limiting the above, we are not liable for charges billed to you by a third-party AI or payment provider, for changes to or interruption of any third-party service, or for loss or corruption of data resulting from commands you issue to the software.
Our total aggregate liability arising out of or relating to the Services will not exceed the amount you actually paid us for your licence. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
16.Indemnity
You agree to indemnify and hold harmless Stonic AI and its owner against any claim, demand, loss, liability, cost or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, your violation of any law, or your infringement of the rights of any third party.
17.Changes to the software and to these Terms
We continue to develop the software and may add, change or remove features, and may modify these Terms, at any time. When we make a material change to these Terms we will update the “Effective” date at the top of this page and, where the change significantly affects your rights, take reasonable steps to notify you through the website or our support channels.
Changes apply prospectively from the date they take effect. They will not retroactively reduce the entitlements of a purchase already completed, and they will never override section 9. Continuing to use the Services after a change takes effect means you accept the revised Terms; if you do not accept them, you should stop using the Services.
18.Governing law and disputes
These Terms and any dispute arising out of or in connection with them or the Services are governed by the laws of the Islamic Republic of Pakistan, without regard to its conflict-of-law rules. The competent courts of Pakistan have exclusive jurisdiction, except that if you are a consumer resident elsewhere, you keep the benefit of any mandatory protection and any right to bring proceedings in the courts of your country of residence where local law grants you that right and it cannot be waived by agreement.
Before starting formal proceedings, we ask that you contact us at [email protected] so that we have a fair opportunity to resolve the matter directly. Most issues are settled quickly this way.
19.General provisions
These Terms, together with the Privacy Policy and the Refund Policy, constitute the entire agreement between you and Stonic AI regarding the Services and supersede any prior understanding or communication about them. If any provision is held to be invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions will continue in full force.
Our failure to enforce any provision is not a waiver of our right to enforce it later. You may not assign or transfer these Terms or your licence without our prior written consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for a failure to perform caused by events beyond its reasonable control, including internet or power failure, third-party service outage, natural disaster or government action. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship between us. These Terms are written in English; any translation is provided for convenience and the English version prevails.
